3. Artificial Intelligence & Autonomous Agentic Models

AI automation workflows, natural language processing pipelines, autonomous agent swarms, and machine learning components deployed by HENU OS (including HENU PA, HENU Mail, and Agentic ERP connectors) utilize probabilistic algorithmic models. Output generated by AI agents must be reviewed, audited, and approved through human-in-the-loop validation where mission-critical financial, medical, or statutory decisions are involved. HENU OS disclaims liability for probabilistic variations inherent to third-party foundational LLM architectures (e.g., OpenAI, Anthropic, Google Gemini).

4. Third-Party Gateways & Infrastructure Dependencies

Client applications frequently integrate external services, including payment processors (Razorpay, Cashfree, Stripe), SMS/DLT messaging relays (Twilio, Fast2SMS), telecom routing, and cloud hosting servers (AWS, Google Cloud, Edge networks). HENU OS provides robust fault-tolerant idempotent webhook handling and retry protocols, but does not warrant zero downtime caused by upstream outages, government regulatory blackouts, or bank gateway failure on the part of third-party service providers.

5. Deliverables, Warranties & Code Ownership

HENU OS operates on an unambiguous milestone-driven engineering protocol. Upon complete settlement of contractual milestone invoices:

• 100% full intellectual property and bespoke source code ownership transfers unencumbered to the client.
• Projects include our standard 30-day post-deployment bug-fix warranty for all items within the signed scope.
• Subsequent scope additions, third-party breaking API revisions, or structural refactoring requested post-signoff require a formal Change Request (CR) or retainer agreement.

6. Limitation of Liability & Exclusive Jurisdiction

To the maximum extent permitted by applicable Indian law (including the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023), HENU OS PRIVATE LIMITED, its directors, engineers, and affiliates shall not be liable for any indirect, punitive, special, or consequential damages resulting from the use or inability to use deployed software systems.

All contractual relationships, inquiries, and legal proceedings arising from or in connection with HENU OS shall be governed exclusively by the laws of India, and the courts located in Pali / Jodhpur, Rajasthan, India shall have sole and exclusive judicial jurisdiction.
